Exclusive transfer of economic rights – 99-year term

2. Purpose of the Agreement

The Author grants the Buyer an exclusive license to exploit the Work under the terms and conditions set out below.

This license constitutes an exclusive transfer of the Author’s economic rights, within the limits defined in Article 3.

The Author’s moral rights remain unaffected and non-transferable.

3. Scope of Rights Granted

3.1 Permitted Uses

The Buyer is granted the exclusive right to use the Work for all purposes, including but not limited to:

  • personal and professional use;
  • press, media, blogs, social networks, digital platforms;
  • advertising, marketing, commercial or institutional communication;
  • print, TV, online video, cinema, public display;
  • publishing, catalogues, packaging, branding, signage;
  • reproduction, representation, and distribution on any medium, whether existing or future;
  • creation of derivative works, edits, adaptations, transformations;
  • integration into any product, service, or derivative creation.

3.2 Prohibited Uses

The following uses remain prohibited:

  • any use that infringes the Author’s moral rights, including distortion, defamation, or misleading alteration;
  • any use expressly prohibited by law.

3.3 Exclusivity

For the entire duration of the license, the Buyer benefits from full exclusivity:

  • The Author may no longer exploit the Work in any form;
  • The Author may not grant any license or authorization to a third party;
  • The Work must be withdrawn from sale on EXP0 and any other platform;
  • No additional NFT relating to the Work may be minted or distributed.

3.4 Territory

The license is granted for worldwide use.

3.5 Duration

The exclusive license is granted for a term of 99 years, in accordance with the French Intellectual Property Code (Article L.131-3).

4. Moral Rights

The Author’s moral rights remain fully applicable, perpetual, and non-transferable.

The Buyer agrees to respect:

  • the right of attribution (right to be identified as the Author),
  • the right of integrity, including the prohibition on degrading, defamatory, or misleading alterations.

5. Delivery of Materials

The Author shall provide the Buyer with:

  • a high-resolution or RAW digital file of the Work;
  • any additional files or formats necessary for proper use (if applicable).

Delivery of these files does not imply transfer of moral rights.

6. Compensation

The exclusive license is granted in consideration of the payment made via EXP0.
This payment constitutes the full and final remuneration agreed between the parties.

7. NFT Status

Any NFT associated with the Work is considered:

  • a certificate of authenticity,
  • proof of provenance,
  • evidence of ownership of the digital or physical support.

The NFT does not extend or modify the rights granted under this license.
In the event of discrepancy, the terms of this license prevail.

8. Warranties

The Author warrants that:

  • they are the rightful holder of the economic rights transferred;
  • the Work is original and does not infringe any third-party rights;
  • no other exclusive license has previously been granted.

9. Governing Law

This agreement is governed by French law, without prejudice to mandatory legal provisions in the Buyer’s or Author’s country of residence.

10. Effect of the Transfer

Upon completion of the purchase:

  • the exclusivity becomes effective immediately;
  • the license cannot be unilaterally revoked;
  • the Buyer becomes the sole holder of the economic rights transferred for the duration of the agreement.
